Terms & Software License

1. Seller, software, and services

BalanceTrail is sold under the BalanceTrail Software brand by Jamaica Natural, LLC. These terms apply to direct purchases and use of BalanceTrail software obtained from balancetrail.app and to done-for-you setup or migration services purchased directly from us.

2. Software license

A direct BalanceTrail 1.0 purchase grants the purchaser a non-exclusive license to use the software for one organization on one active production installation. Reasonable backup, migration, development, or staging copies for that same organization are permitted when they are not used as separate live installations.

You may not resell, redistribute, sublicense, publish, share, or offer the BalanceTrail source/package as your own product or as a downloadable product for third parties.

3. Updates

A BalanceTrail 1.0 direct license includes BalanceTrail 1.x updates that Jamaica Natural, LLC makes available to direct purchasers. A future major version, such as 2.0, may be offered separately unless we state otherwise.

4. Self-hosting responsibilities

BalanceTrail is self-hosted software. Unless a written service scope says otherwise, the purchaser is responsible for obtaining and maintaining compatible hosting, HTTPS, database access, server configuration, backups, email delivery, access control, and other infrastructure needed to operate the software.

5. Done-for-you setup and migration services

Assisted Launch and Treasurer Migration are implementation services, not additional software products. The exact scope, price, prerequisites, records to be handled, and any work outside the published standard scope are confirmed before paid migration work begins.

The customer is responsible for having authority to provide the records and systems involved in the project, for supplying reasonably complete and accurate source data, and for keeping appropriate backups of original records. We may decline or re-scope work when source data is incomplete, inconsistent, unusually complex, or outside the agreed scope.

Migration work can include structural cleanup, mapping, import preparation, validation, and reconciliation against the records provided. It does not constitute an audit or independent verification that the organization's underlying financial records are legally, tax-wise, or accounting-wise correct.

6. Financial records

BalanceTrail is a recordkeeping and member-payment management tool. It is not legal, tax, accounting, audit, or financial advice. The organization remains responsible for reviewing its records, maintaining appropriate backups, and meeting any legal, tax, accounting, privacy, or reporting obligations that apply to it.

7. Payments and delivery

Direct software purchases are processed through PayPal. Download access is provided after a completed software payment is verified. Done-for-you services are purchased according to the written quote or invoice supplied for that project. Our Refund Policy is incorporated into these terms.

8. Availability and warranty

We aim to keep BalanceTrail functional and supported, but no software is error-free and hosting environments vary. To the maximum extent permitted by applicable law, BalanceTrail is provided without guarantees that it will be uninterrupted or suitable for every organization's particular requirements.

9. Limitation of liability

To the maximum extent permitted by applicable law, Jamaica Natural, LLC will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of BalanceTrail, loss of data, hosting failures, migration source-data errors, or third-party services. Nothing in these terms excludes rights or liabilities that cannot legally be excluded.

10. Governing law

These terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise.
